COUNCIL ON RENAL NUTRITION OF GREATER NEW YORK GOVERNING BY-LAWS (10/04)
ARTICLE I. Name
The name of this organization shall be The Council on Renal Nutrition of Greater New York (hereinafter referred to as CRN of Greater NY). Facilities represented include the boroughs of Manhattan, Brooklyn, Bronx, Queens, Staten Island, and the county of Westchester. The CRN of Greater NY was formally adopted by the governing body on November 1, 1989.
ARTICLE II. Purpose and Functions
To provide/establish improved nutritional care for people with renal disease by setting standards of practice and/or guidelines for dietitians who care for people with renal disease.
To adhere to and promote the public policy of the American Dietetic Association and the Council on Renal Nutrition of the National Kidney Foundation (hereinafter referred to as ADA and NKF/CRN respectively) and function within the Rules and Regulations of ADA and NKF/CRN.
To act as an advisory group to the ESRD Network 2, The Medical Review Board and to the National Kidney Foundation of Greater New York (herein referred to as NKF of Greater NY) on matters concerning renal nutrition and to participate in programs of these groups.
To develop and promote continuing education programs for dietitians, physicians, and other health care professionals.
To develop programs for patient/public education and to disseminate information concerning nutritional aspects of renal disease, dialysis, transplantation and related areas.
ARTICLE III. Dues
Official membership dues for CRN of Greater NY shall be an annual fee of $25. This fee includes continuing education credits for local CRN of Greater NY meetings attended. Membership is annually starting in November. A one-year complimentary membership can be given to a speaker who wishes to become a member in lieu of an honorarium.
ARTICLE IV. Membership
Section 1. Active Membership
CRN of Greater NY membership is comprised of:
Dietitians in renal nutrition who have paid annual membership dues. These members are encouraged to but donít have to be members of NKF/CRN.
Others in the renal community who have paid for membership
(i.e. Representatives of companies, registered nurses, doctors etc.)
Section 2. Termination of Membership
Membership in CRN of Greater NY will be terminated by any of the following circumstances:
At a members request to remove his/her name from the membership list.
Membership shall be suspended upon non-payment of dues to CRN of Greater NY.
Section 3. Rights and Privileges
A. All Active members shall have the following rights and privileges within CRN of Greater NY:
May attend all meetings; participate in committees; participate in projects and functions.
Will automatically receive minutes of the meetings and pertinent material produced by the CRN of Greater NY.
Will receive ADA credit for meetings attended.
Active members will have additional rights of:
Voting in elections of officers and/or other proposals a decided by the Executive Committee.
Holding elective office and appointive positions within CRN of Greater NY.
Section 4. Non-Members
Non-members may attend all meeting for a fee of $5 per credit, $10 per 2 credit meeting.
Will receive ADA credits for meetings attended upon payment of fee.
Are not voting members and cannot hold an office on the Executive Committee.
ARTICLE V. Committees
There shall be Standing and Special Committees in CRN of Greater NY
Section 1. Standing Committees
There shall be the following Standing Committees: Executive Committee, Education Committee and Membership Committee. Members of all Standing Committees shall serve a 2-year term commencing November 1rst and termination on October 31rst of the following year after. All committee members can serve additional terms as deemed suitable by the chairperson of the committee.
Executive Committee
The Executive Committee shall perform duties as are necessary to carry on business and functions of CRN of Greater NY. It shall consist of the following: Chairperson, Chair-Elect, Immediate Past Chair, Secretary, Treasurer, Education Committee Chair, and Membership Committee Chair.
Education Committee
The Education Committee shall be responsible for the development, preparation and collection of education materials for patients and professionals. The Education Committee will be responsible for attaining the continuing education credits for the meetings. The Chairperson for this committee shall be elected by majority vote of CRN of Greater NY membership.
Membership Committee
The Membership Committee shall be responsible for maintaining the membership and mailing lists, updating the mailing list and keeping it current. The Membership Committee will review lists of attendees and use this information to seek out new members in all the boroughs. To seek out new members, the committee will use a variety of methods including letters, brochures and phone calls.
Section 2. Special Committees
The Chairperson of CRN of Greater NY and the Executive Committee by majority vote may appoint special committees as deemed necessary. Chairperson of Special Committees can be a regular member of CRN of Greater NY.
Article VI. Officers
The elected officers of CRN of Greater NY shall be the Chairperson, Chair Elect, Membership Chairperson, Immediate Past Chairperson, Secretary, Treasurer and Education Committee Chairperson.
1. Chairperson
The chairperson shall:
Be elected every 2 years by the membership of CRN of Greater NY and take office on November 1st.
Preside at all business meetings of the CRN of Greater NY
Preside at all the meetings of CRN of Greater NY
Obtain calls for nominations and organize/prepare ballots for election of officers.
Perform the duties pertaining to the activities as set forth and approved by the general membership.
Serve as a voting member of CRN of Greater NY
Automatically assume the position of Immediate Past Chair upon completion of the term as Chair.
Appoint representatives to NKF of Greater New York and ESRD Network committees when necessary.
Be an active and registered member of ADA and NKF/CRN.
Not succeed her/himself in office.
2. Immediate Chairperson
The Immediate Chairperson shall:
Serve for 2 years in this position.
Assist the current chairperson of CRN of Greater NY and/ or Executive Committee and perform duties of CRN of Greater NY.
Assume position of NKF/CRN Contact Person
Not succeed her/himself in office.
Be an active and registered member of ADA and NKF/CRN
3. Chair- Elect
The Chair elect shall:
Be elected every 2 years by the membership of CRN of Greater NY and take office on November 1rst.
Be allowed to share the position and be referred to as co-chair elect.
Assist the chairperson in duties as needed.
Report/preside at CRN of Greater NY business and educational meetings in the Chairpersons absence.
Perform the duties pertaining to the activities as set forth and approved by the general membership.
Proceed automatically to the office of Chairperson of CRN of Greater NY at the end of the 2-year term unless otherwise decided by the vote of the general membership.
Be an active and registered member of ADA and NKF/CRN.
Not to succeed her/himself in office.
4. Secretary
The secretary shall:
Be elected every 2 years by the membership of CRN of Greater NY and take office on November 1st.
Report to the chair.
Act as secretary of all meetings and shall keep minutes of all meetings and perform all other duties incident to the office.
Be responsible for sending general meeting minutes and meeting announcements to non-members of CRN.
Work closely wit the membership chair in maintaining the mailing list/membership records.
Serve as a voting member of CRN of Greater NY
Be an active and registered member of ADA and NKF/CRN.
Not to succeed him/herself in office.
5. Treasurer
The treasurer shall:
Be elected every 2 years by the membership of CRN of Greater NY and take office on November 1st.
Keep financial records and all related business transactions of CRN of Greater NY and/or Executive Committee.
Be an active and registered member of ADA and NKF/CRN.
Not to succeed him/herself in office.
6. Education Committee Chairperson
The education chairperson shall:
Be elected every 2 years by the membership of CRN of Greater NY and take office on November 1st.
Be responsible for the development, preparation and collection of education materials, the resource library and other materials as deemed necessary.
Report to the chairperson.
Submit a report of activities of CRN of Greater NY workshops, educational meetings and other pertinent information to ADA and the Commission on Dietetic Registration for continuing education credits.
Be an active and registered member of ADA and NKF/CRN.
Not to succeed him/herself in office.
7. Membership Committee Chairperson
The membership chairperson shall:
Be elected every 2 years by the membership of CRN of Greater NY and take office on November 1rst.
Be responsible for maintaining and updating membership and mailing lists.
Mail membership applications to non-members.
Mail meeting announcements to members.
Report to chairperson.
Work closely with the secretary regarding mailings to members.
Be an active and registered member of ADA and NKF/CRN.
Not to succeed him/herself in office.
ARTICLE VII. Representative to ESRD Network 2 and NKF of Greater NY
Section 1. Representatives to ESRD Network 2
1. Representative to Executive Committee of ESRD Network 2
Shall serve for as long they desire or until the Network requests a change.
Attend and participate in ESRD Network 2 Executive meetings.
Be responsible for reports submitted to the ESRD Network 2
Report ESRD Network 2 activities as related to nutrition to the membership.
2. Representative to Rehabilitation Committee of ESRD Network 2
Shall serve for as long as they desire or until the Network requests a change.
Attend and participate in ESRD Network 2 Rehabilitation Committee meetings.
Be responsible for reports submitted to the ESRD Network 2 rehabilitation Committee.
Report ESRD Network 2 activities as related to nutrition to the membership.
Section 2. Representative to NKF of Greater New York
Representative to NKF of Greater New York
Shall serve for as long they desire or until the NKF of Greater New York requests a change.
Attend and participate in NKF of Greater NY committee meetings.
Be responsible for reports submitted to the NKF of Greater New York
Report the NKF of Greater New York activities as related to nutrition to the membership.
ARTICLE VIII. Nominations
In May, the chairperson shall organize nominations for the following terms. By July, the current membership list will be sent officerís job descriptions and nominating ballots to place space for nominees. The ballot will include the names of officers whom currently serve and have accepted nominations for other positions. All mail nominations must be received by September 1rst of that year. In September the results of the mailing will be presented to the general membership.
ARTICLE IIX. Elections
Elections for the officers will be conducted by mail vote. This will be sent with the announcements for the July meeting. All mail ballots must be received by September 1.
ARTICLE IX. Voting
Each active member shall have one vote.
ARTICLE X. Resignations
In the event that an officer resigns, the Executive Committee shall elect an acting officer and shall remain in office until the next election.
ARTICLE XI. Meetings
General membership meetings shall provide members with 6 continuing educational credits. General membership meetings will be divided throughout the year. Mailings will be sent out prior to the date to give members advance notice of date, time and place that they are held. Executive Committee Meetings will be held following the general meetings/education sessions for the Executive Committee to discuss any needed business.
ARTICLE XII. Organizational Amendment:
A. The Council on Renal Nutrition of Greater NY is organized exclusively for charitable, educational, and scientific purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501 (c) (3) if the Internal Revenue Code or corresponding section of any future federal tax code.
B. No part of the net earnings of the organization shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in the furtherance of the purposes set forth in the purpose clause hereof. No substantial part of the activities of the organization shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in or intervene in, (including the publishing or distribution of statements) any political campaign of behalf of any candidate for public office. Notwithstanding any other provision of this document, the organization shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal income tax under section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or (b) by an organization, contributions to which are deductible under section 170 (c) (2) of the Internal Revenue Code, or corresponding section of any future federal tax code.
C. Upon the dissolution of the organization, assets shall be distributed for one or more exempt purposes within the meaning of the section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to s state or local government, for a public purpose. Any such assets not disposed of shall be disposed of by the Court Council on Renal Nutrition of Greater New York 13-3956592.
Common Pleas of the county in which the principal office of the organization is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.
